These Terms and Conditions are drafted in compliance with the following statutes and subordinate legislation: the Promotion and Regulation of Online Gaming Act, 2025 ("PROGA 2025"); the Online Gaming Authority of India Draft Rules, 2025 ("OGAI Rules"); the Digital Personal Data Protection Act, 2023 ("DPDP Act"); the Information Technology Act, 2000 ("IT Act"); the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 ("IT Rules 2021"); and the National Sports Governance Act, 2025. Regulatory citations are stated inline throughout this document in the format [Statute, Provision].

1. DEFINITIONS

In these Terms and Conditions, unless the context otherwise requires, the following terms shall have the meanings ascribed to them below:

"Platform" means the website www.theesports.club, associated mobile applications, and all related digital infrastructure operated by the Company.

"Company" / "Basik" means Basik Marketing Private Limited, a company incorporated under the Companies Act, 2013, bearing CIN: U74999KA2019PTC126425, having its registered office at No. 228, 3rd Floor, 6th A Main, HRBR Layout, 2nd Block, Kalyan Nagar, Bengaluru - 560043, Karnataka, India.

"User" / "You" means any natural person who accesses, registers on, or participates in the Platform in any capacity, including as a player, spectator, or content contributor.

"Tournament" means any competitive gaming event, qualifier, league, or Grand Finals hosted or co-hosted on the Platform.

"Esport" means a skill-based competitive video game activity as recognised under the National Sports Governance Act, 2025.

"Online Money Game" means any online game involving a stake, fee, deposit, or consideration in the nature of a wager, the winnings from which are redeemable or convertible to money or money's worth, as defined under Section 2(j) of PROGA 2025.

"OGAI" means the Online Gaming Authority of India, a statutory body established under Section 19 of PROGA 2025.

"Data Fiduciary" has the meaning assigned under Section 2(i) of the DPDP Act, 2023.

"Personal Data" has the meaning assigned under the DPDP Act, 2023.

"Minor" means any individual below the age of 18 years, or such other age as may be prescribed as the age of majority under applicable regional law.

"Prize" means any reward, whether monetary, voucher-based, or in-kind, awarded to a participant exclusively on the basis of competitive performance and final standings, and which does not constitute consideration for participation or a return on any stake or wager.

"GAC" means the Grievance Appellate Committee constituted by the Central Government under Rule 3A of the IT Rules 2021.

2. ACCEPTANCE OF TERMS

By accessing the Platform, creating an account, registering for a Tournament, or participating in any event or activity on the Platform, the User unconditionally accepts and agrees to be legally bound by these Terms and Conditions in their entirety, together with the Privacy Policy and any Tournament-specific rules published on the Platform. These Terms constitute a binding legal agreement between the User and the Company.

If the User does not agree to these Terms, the User must immediately cease access to and use of the Platform. Continued use of the Platform following publication of any amendment to these Terms shall constitute acceptance of the amended Terms.

3. NATURE OF THE PLATFORM - NO MONEY GAME DECLARATION

IMPORTANT DECLARATION: The Esports Club is not an Online Money Game platform within the meaning of Section 2(j) of the Promotion and Regulation of Online Gaming Act, 2025.

The Platform does not charge any entry fee, collect any deposit or stake, or offer any winnings or rewards constituting consideration for participation or a return on any monetary stake or wager. All Tournaments and events on the Platform are free-to-enter and skill-based. The Platform operates as a skill-based esports platform within the recognised categories of Online Social Games and E-sports under PROGA 2025. [Ref: PROGA 2025, Sections 2(g), 2(h), 2(j), 3; OGAI Draft Rules, Rule 13]

By registering for or participating in any Tournament, the User expressly acknowledges and confirms that:

  1. No monetary consideration, deposit, stake, or entry fee has been paid or is required to be paid as a condition for participation.

  2. Any Prize awarded is based exclusively on competitive skill and final standings in the Tournament.

  3. No Prize constitutes a wager, bet, stake, or return on any monetary consideration paid for participation.

  4. The Platform does not facilitate, host, or enable Online Money Gaming of any nature.

  5. The User has not been induced to participate on the basis of any representation that participation constitutes an investment or that monetary returns are guaranteed.

The Company shall apply for and maintain registration with the OGAI as and when mandatory registration requirements for esports platforms are notified and come into force under PROGA 2025. [Ref: PROGA 2025, Section 19; OGAI Draft Rules, Rule 15]

4. ELIGIBILITY AND AGE REQUIREMENTS

The Platform is accessible to individuals aged 13 years and above. Participation in Prize-eligible Tournaments requires the User to be at least 13 years of age. Any User below the age of 18 years (a "Minor") must obtain and provide verifiable consent from a parent or legal guardian prior to registration. [Ref: DPDP Act 2023, Section 9; PROGA 2025, Schedule on User Safety]

By completing registration, the User represents and warrants that:

  1. The User meets the minimum age requirement applicable to the event or Tournament registered for.

  2. Where the User is a Minor, a parent or legal guardian has reviewed and accepted these Terms on the Minor's behalf and has provided verifiable consent to the processing of the Minor's Personal Data.

  3. All information submitted during registration is accurate, complete, and not misleading.

The Company reserves the right to implement mandatory age-verification mechanisms, including government-issued identity verification, for the purpose of Prize disbursement. Any Prize won by a Minor shall be disbursed solely to the Minor's parent or legal guardian upon submission of requisite documentation.

The Company shall not knowingly collect, process, or retain Personal Data of Minors without verifiable parental consent. Any account found to have been registered by or on behalf of a Minor without verifiable parental consent may be suspended pending verification. [Ref: DPDP Act 2023, Section 9]

5. USER REGISTRATION AND ACCOUNT

To access the features and services of the Platform, Users are required to create an account. By completing the registration process, the User represents, warrants, and undertakes as follows:

  1. All information provided is accurate, current, complete, and not intended to deceive or mislead.

  2. The User is registering in their own name and on their own behalf, or, where the User is a Minor, the registration is being completed by a parent or legal guardian.

  3. The User has not previously been suspended, banned, or restricted from accessing the Platform or any related service operated by the Company.

  4. The User shall maintain the confidentiality and security of their account credentials and shall not permit any third party to access the account.

  5. The User shall promptly notify the Company of any unauthorised use of the account or any security breach.

The Company reserves the right, at its sole discretion and without prior notice or liability, to suspend, restrict, or permanently terminate any User's account in the event of: (a) breach or suspected breach of these Terms; (b) provision of false, misleading, or incomplete information during registration or KYC; (c) conduct that the Company reasonably considers harmful to the Platform, its Users, or its brand partners; or (d) any direction received from a regulatory or law enforcement authority. Termination of an account shall not entitle the User to any refund, compensation, or damages of any nature. The Company's decision in relation to account suspension or termination shall be final, subject only to the grievance mechanism under Clause 12.

6. TOURNAMENTS, EVENTS, AND PRIZE DISBURSEMENT

6.1 Free-to-Participate

All Tournaments and events hosted on the Platform are free-to-participate. No entry fee, registration fee, deposit, wager, stake, or monetary consideration of any nature is charged to Users as a condition of or in exchange for participation in any Tournament or event on the Platform. 6.2 Prize Disbursement

Where a Tournament offers a Prize, disbursement shall be subject to the following conditions:

  1. Prizes are awarded exclusively on the basis of competitive merit and final standings in the Tournament. Prize details, including amounts, form, and eligibility criteria, are published in the specific Tournament rules.

  2. Cash Prizes are subject to deduction of Tax Deducted at Source ("TDS") in accordance with Section 115BB of the Income Tax Act, 1961, currently at the rate of thirty percent (30%) plus applicable surcharge and cess. The Company shall issue Form 16A to eligible recipients on a quarterly basis.

  3. Prize disbursement requires the submission of valid Know-Your-Customer ("KYC") documentation, including a valid Permanent Account Number (PAN) card and such other documents as the Company may prescribe.

  4. The Company reserves the right to withhold Prize disbursement pending satisfactory verification of the recipient's identity, age, eligibility, and KYC documentation.

  5. Any Prize won by a Minor shall be disbursed solely to the Minor's parent or legal guardian.

6.3 Tournament-Specific Rules

Each Tournament operates under specific rules published on the relevant event page on the Platform. Tournament-specific rules govern, inter alia, game-specific conduct standards, team eligibility, device and software requirements, and grounds for disqualification. Tournament-specific rules supplement these Terms and shall be read alongside them. In the event of any conflict between Tournament-specific rules and these Terms, these Terms shall prevail unless the Tournament-specific rules expressly state otherwise.

6.4 Anti-Cheating and Fair Play

Any User found to have engaged in any of the following conduct shall be liable to immediate disqualification from the relevant Tournament and may be permanently suspended from the Platform:

  1. Use of unauthorised software, aimbots, macros, scripts, hacks, or any tool that provides an unfair competitive advantage.

  2. Match-fixing, collusion, or deliberate underperformance.

  3. Impersonation of another player, team, or individual.

  4. Exploitation of software bugs, glitches, or Platform vulnerabilities.

  5. Any other conduct that, in the reasonable opinion of the Company, constitutes cheating or unfair play.

7. PERSONAL DATA - COLLECTION, PROCESSING, AND USER RIGHTS

7.1 Data Fiduciary

Basik Marketing Private Limited is the Data Fiduciary in respect of all Personal Data collected and processed through the Platform, as defined under Section 2(i) of the Digital Personal Data Protection Act, 2023. [Ref: DPDP Act 2023, Section 2(i)]

7.2 Categories of Personal Data Collected

The Company collects the following categories of Personal Data from Users:

  1. Identity data: full name, date of birth, gender, and profile photograph.

  2. Contact data: email address, mobile number, and city or state of residence.

  3. Account data: username, in-game identification, game title, and tournament participation history.

  4. Device and technical data: IP address, device type, operating system, and browser.

  5. Event data: participation records, match scores, and Prize eligibility status.

  6. KYC data (for Prize disbursement only): PAN card, government-issued identity document, and bank account details.

7.3 Purposes of Processing

The Company processes Personal Data solely for the following stated and consented purposes: [Ref: DPDP Act 2023, Section 6]

  1. Facilitating Tournament registration, participation, and Prize disbursement.

  2. Sending communications regarding upcoming events, Tournament results, and Platform updates.

  3. Sharing aggregated or anonymised performance data with authorised brand partners and sponsors for the purpose of campaign reporting and audience analytics.

  4. Sharing contact data, specifically name, email address, mobile number, and city, with authorised brand partners and sponsors where the User has expressly consented to third-party communication at the time of registration.

  5. Compliance with applicable law, regulatory directions, judicial orders, or directions from law enforcement authorities.

7.4 Consent and Withdrawal

Where the Company relies on consent as the lawful basis for processing Personal Data, the User may withdraw such consent at any time by writing to [email protected]. Withdrawal of consent shall not affect the lawfulness of processing carried out prior to the date of withdrawal. Where consent is withdrawn, the Company shall cease processing for the relevant purpose within a reasonable period, and solely to the extent required by law. [Ref: DPDP Act 2023, Section 6(4)]

7.5 Data Retention

Personal Data shall be retained only for so long as is necessary to fulfil the stated purpose for which it was collected, or as required under applicable law, whichever is longer. KYC data shall be retained for a minimum period of five (5) years for the purpose of tax compliance. General account data may be retained for a period of up to three (3) years following the date of the User's last active use of the Platform. [Ref: DPDP Act 2023, Section 8(7)]

7.6 User Rights

Users have the following rights in respect of their Personal Data, exercisable by submitting a written request to [email protected]. The Company reserves the right to verify the identity of the requestor before acting on any such request, and to decline requests that are manifestly unfounded, excessive, or repetitive: [Ref: DPDP Act 2023, Sections 11-14]

  1. The right to obtain a summary of the Personal Data processed by the Company and the purposes for which it is being processed.

  2. The right to correction of Personal Data that is inaccurate or incomplete.

  3. The right to erasure of Personal Data that is no longer necessary for the stated purpose, subject to applicable legal retention obligations.

  4. The right to nominate a person to exercise data rights in the event of the User's death or incapacity.

  5. The right to file a complaint with the Data Protection Board of India where the User believes their rights under the DPDP Act have been infringed.

8. BROADCAST, IMAGE, AND CONTENT RIGHTS

By registering for and participating in any Tournament or event on the Platform, the User hereby irrevocably grants to Basik Marketing Private Limited and its authorised brand partners, sponsors, licensees, and successors-in-title a non-exclusive, royalty-free, irrevocable, perpetual, sublicensable, and worldwide licence to:

  1. Record, photograph, livestream, and broadcast the User's participation, gameplay footage, and competitive performance across all media formats, including digital platforms, social media channels, over-the-top (OTT) platforms, and broadcast television, in perpetuity.

  2. Use the User's name, username, in-game tag, team name, and likeness in promotional, editorial, marketing, advertising, and retrospective content related to the Tournament or event, without further consent or consideration.

  3. Create highlight reels, montages, commentary sequences, and derivative works using Tournament footage featuring the User, and to modify, adapt, or edit such footage as the Company deems appropriate.

  4. Publish, distribute, sublicense, and commercially exploit such content through TEC-owned channels, partner-operated platforms, and any other media, without payment of additional consideration to the User.

The User irrevocably waives all moral rights, rights of attribution, and any claim to royalty, residual, or compensation of any kind arising from the use of their likeness, name, or performance in Tournament-related content produced pursuant to this licence. This waiver shall survive termination of these Terms and the User's account.

The User retains ownership of original content independently created by them outside of Tournament participation. The User is strictly prohibited from livestreaming, recording, or publicly broadcasting Tournament match footage, commentary, or coverage through personal channels without the prior express written approval of the Company. Breach of this restriction may result in account termination and the Company reserves the right to seek injunctive relief and damages.

9. PROHIBITED CONDUCT

The following conduct is strictly prohibited on and in connection with the Platform. Any User found to have engaged in prohibited conduct shall be subject to sanctions including but not limited to immediate suspension or permanent termination of account, disqualification from Tournaments, forfeiture of Prizes, and referral to law enforcement authorities where applicable:

  1. Participation in any Tournament with intent to gain an unfair advantage through cheating, collusion, or match-fixing.

  2. Use of automated bots, macros, scripts, or any tool designed to circumvent fair play mechanisms.

  3. Harassment, abuse, intimidation, bullying, or discriminatory conduct directed at other Users, moderators, or Company personnel.

  4. Posting, transmitting, or distributing content that is obscene, defamatory, unlawful, or that infringes the intellectual property rights of any third party.

  5. Attempting to reverse-engineer, decompile, tamper with, or otherwise interfere with the technical infrastructure of the Platform.

  6. Creating fictitious accounts, impersonating any person or entity, or registering on behalf of an ineligible person.

  7. Using the Platform to conduct, promote, facilitate, or advertise Online Money Gaming of any nature, in violation of PROGA 2025.

  8. Any conduct in violation of applicable Indian law, including but not limited to the IT Act, PROGA 2025, DPDP Act, or the Bharatiya Nyaya Sanhita, 2023.

10. INTELLECTUAL PROPERTY

All intellectual property comprised in the Platform, including the name "The Esports Club", associated logos and branding, Tournament formats, broadcast content, graphic assets, software, and databases, is owned by or licensed to Basik Marketing Private Limited and is protected under applicable intellectual property law.

Users are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for personal, non-commercial purposes in accordance with these Terms. This licence does not include the right to:

  1. Reproduce, distribute, publicly display, or commercially exploit any content or material on the Platform.

  2. Create derivative works from Platform content without the prior express written consent of the Company.

  3. Use the Company's trademarks, branding, or trade dress in any manner that implies endorsement, affiliation, or sponsorship.

Game titles featured on the Platform are the intellectual property of their respective publishers. The Company operates Tournament formats pursuant to applicable licensing arrangements or publisher approval frameworks.

11. DISCLAIMERS AND LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law:

  1. The Company provides the Platform on an "as is" and "as available" basis without any warranty, representation, or condition of any kind, whether express, implied, statutory, or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. The Company expressly disclaims all such warranties.

  2. The Company does not warrant that the Platform will be uninterrupted, error-free, free of viruses or other harmful components, or that any defect will be corrected. The User acknowledges that the Platform may be suspended, modified, or discontinued at any time without prior notice, at the Company's sole discretion.

  3. The Company shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or in connection with the User's use of or inability to use the Platform, including but not limited to loss of data, loss of revenue, loss of profits, loss of goodwill, or loss of anticipated savings, even if the Company has been advised of the possibility of such damages.

  4. The Company's aggregate and total liability to any User in respect of all claims arising under or in connection with these Terms, whether in contract, tort, statute, or otherwise, shall not exceed INR 5,000 (Rupees Five Thousand only) in aggregate, regardless of the nature or number of claims.

  5. The Company is not responsible for, and expressly disclaims all liability in respect of, any technical failures, latency, or errors arising from the User's device, internet connectivity, third-party game publisher servers, or any telecommunications infrastructure outside the Company's direct control.

  6. The Company shall not be liable for any loss, damage, or injury suffered by a User as a result of the User's own breach of these Terms, negligence, or failure to comply with Tournament-specific rules.

  7. The Company shall not be liable for any decisions made by the Grievance Appellate Committee, the OGAI, or any judicial or regulatory authority in relation to matters escalated by Users.

Nothing in this Clause shall be construed to limit or exclude the Company's liability for: (a) death or personal injury caused by the Company's negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot lawfully be excluded or restricted under applicable Indian law.

12. GRIEVANCE REDRESSAL MECHANISM

In compliance with the Promotion and Regulation of Online Gaming Act, 2025, the OGAI Draft Rules 2025, and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Company has established the following three-tier grievance redressal mechanism for Users: [Ref: PROGA 2025; OGAI Draft Rules, Rule 23; IT Rules 2021, Rule 3A]

Tier I - Internal Grievance Officers

The Company has designated the following persons as Grievance Officers for the Platform. Users may lodge grievances relating to Tournament disputes, account matters, data access and erasure requests, Prize disbursement complaints, content-related matters, or any other Platform-related concern by contacting either of the officers below:

Upon receipt of a grievance:

  1. The Grievance Officer shall acknowledge the complaint within twenty-four (24) hours of receipt.

  2. The Grievance Officer shall endeavour to resolve the complaint and communicate the outcome to the User within fifteen (15) days of acknowledgement.

  3. Where the complaint pertains to Personal Data, processing, or data rights under the DPDP Act, 2023, it shall be directed to [email protected] and the Company shall endeavour to resolve it within fifteen (15) days, subject to verification of the complainant's identity.

Tier II - Grievance Appellate Committee (GAC)

If the User is not satisfied with the resolution provided by the Tier I Grievance Officer, or if the Tier I Officer fails to respond within the prescribed period, the User may file an appeal before the Grievance Appellate Committee (GAC), a statutory appellate body constituted by the Central Government under Rule 3A of the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. [Ref: IT Rules 2021, Rule 3A]

The appeal must be filed within thirty (30) days of the Tier I decision or the expiry of the Tier I resolution period, whichever is earlier, through the official GAC portal maintained by the Ministry of Electronics and Information Technology (MeitY) at: https://appellate.meity.gov.in

The GAC shall endeavour to dispose of the appeal within thirty (30) days of receipt. The GAC may pass such orders as it deems appropriate, including directions for corrective action by the Company.

Tier III - Online Gaming Authority of India (OGAI)

If the grievance remains unresolved following the Tier II process, or where the matter falls within the regulatory jurisdiction of the OGAI, the User may escalate the matter to the Online Gaming Authority of India as the final appellate authority under PROGA 2025. [Ref: PROGA 2025, Section 19; OGAI Draft Rules, Rule 23(6)]

The OGAI portal and contact details shall be updated on the Platform as and when made available by MeitY. Appeals to the OGAI must be filed within thirty (30) days of the Tier II decision.

Filing a grievance under this mechanism does not prejudice the User's right to approach courts of competent jurisdiction or, in respect of Personal Data matters, the Data Protection Board of India.

13. MODIFICATIONS TO TERMS

The Company reserves the right to modify, amend, supplement, or update these Terms at any time and for any reason, at its sole and absolute discretion. Material changes shall be communicated to registered Users via email notification and/or a prominent notice on the Platform not less than seven (7) days before the amended Terms come into effect, except where immediate implementation is required by law, regulatory directive, or to protect the integrity of the Platform.

The User's continued access to or use of the Platform following the effective date of any amended Terms shall constitute the User's unconditional and irrevocable acceptance of such amendments. The Company shall not be required to obtain separate consent from the User for amendments that are required by applicable law or that do not materially diminish the User's rights. Users who do not accept the amended Terms must immediately cease use of the Platform. Account deletion requests shall be processed within a reasonable period at the Company's discretion.

14. GOVERNING LAW AND JURISDICTION

These Terms and Conditions are governed by and shall be construed exclusively in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or in connection with these Terms, including any question regarding their existence, validity, interpretation, breach, or termination, shall first be referred to and addressed through the three-tier grievance mechanism set out in Clause 12 of these Terms. The User agrees that exhaustion of the Tier I grievance process is a condition precedent to initiating any legal proceedings against the Company.

Subject to the foregoing, any unresolved dispute shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction situated at Bengaluru, Karnataka, India. The User irrevocably submits to such jurisdiction and waives any objection to proceedings in such courts on the grounds of venue, inconvenient forum, or otherwise. The Company reserves the right to seek emergency or interim relief in any court of competent jurisdiction without waiving this exclusive jurisdiction clause.

15. MISCELLANEOUS

15.1 Severability. If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severed from these Terms to the minimum extent necessary, and the remaining provisions shall continue in full force and effect without any modification.

15.2 Waiver. No failure or delay by the Company in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof. No single or partial exercise of any right shall preclude any other or further exercise of that right or the exercise of any other right. Rights and remedies provided in these Terms are cumulative and not exclusive of any rights or remedies provided by law.

15.3 Entire Agreement. These Terms, together with the Privacy Policy and any Tournament-specific rules published on the Platform, constitute the entire agreement between the User and the Company in relation to the subject matter hereof and supersede all prior representations, understandings, negotiations, and agreements, whether written or oral. No representation or statement not expressly contained in these Terms shall be binding on the Company.

15.4 Language. These Terms are drafted and executed in the English language. In the event of any conflict between the English version and any translated version, the English version shall prevail in all respects.

15.5 Force Majeure. The Company shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic, epidemic, government action or regulation, civil unrest, power failure, or failure of telecommunications or internet infrastructure. In such circumstances, the Company's obligations shall be suspended for the duration of the force majeure event without liability.

15.6 Indemnity. The User agrees to indemnify, defend, and hold harmless the Company, its directors, officers, employees, affiliates, agents, licensors, and brand partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) the User's breach of these Terms; (b) the User's violation of any applicable law or regulation; (c) any content posted or transmitted by the User through the Platform; (d) the User's participation in any Tournament; or (e) any third-party claim arising from the User's conduct on the Platform.

15.7 Right to Investigate. The User agrees to cooperate fully with any such investigation and to provide such information as the Company may reasonably require. The Company may share information with law enforcement authorities, regulatory bodies, or game publishers where it reasonably believes this is required or appropriate.

15.8 Assignment. The User may not assign, transfer, or sub-license any rights or obligations under these Terms without the prior written consent of the Company. The Company may freely assign these Terms or any of its rights and obligations hereunder to any affiliate, successor entity, or third party without the User's consent.

Notices sent to any other address shall not be deemed received by the Company. The Company's response to any communication does not constitute a waiver of any right under these Terms.
